Germany

Status under the CISG:

Contracting State

The Federal Republic of Germany has been a CISG Contracting State since 1 January 1991.

No reservations are in effect for Germany.

However, Germany made the following declaration regarding Arts. 1(1)(b) and 95 CISG in its instrument of ratification:

"The Government of the Federal Republic of Germany holds the view that Parties to the Convention that have made a declaration under article 95 of the Convention are not considered Contracting States within the meaning of subparagraph (1) (b) of article 1 of the Convention. Accordingly, there is no obligation to apply – and the Federal Republic of Germany assumes no obligation to apply – this provision when the rules of private international law lead to the application of the law of a Party that has made a declaration to the effect that it will not be bound by subparagraph (1) (b) of article 1 of the Convention. Subject to this observation the Government of the Federal Republic of Germany makes no declaration under article 95 of the Convention."

The above declaration is not expressly authorized in the Convention. The prevailing view regards it as an interpretative declaration, and it is disputed whether such a declaration is in accordance with Arts. 7(1) and 98 CISG or not. In any case, the declaration is arguably binding on German courts. In practice, is has never been applied.

Further information:

The Federal Republic of Germany had signed the Convention in accordance with Art. 91(1) CISG on 26 May 1981. It subsequently deposited its instrument of ratification in accordance with Art. 91(2), (4) CISG on 21 December 1989.

Implementation of the CISG into domestic law in Germany

The CISG has been implemented into German law by way of a parlamentary act, commonly referred to as the "Vertragsgesetz". Apart from making the Convention's provisions part of the German legal order (in Art. 1), the Vertragsgesetz repeats the content of Germany's interpretative declaration regarding Arts. 1(1)(b) and 95 CISG (in Art. 2) and partially modifies the limitation (prescription) periods of the German Civil Code when applied to CISG contracts (in Art. 3).

The CISG in the German Democratic Republic (1990)

The German Democratic Republic (commonly known as East Germany) had signed the CISG on 13 August 1981 and deposited its instrument of ratification on 23 February 1989, so that the Convention entered into force for the German Democratic Republic on 1 March 1990.

Effective 3 October 1990, the German Democratic Republic acceded to the Federal Republic of German (German reunification). Given that the Sales Convention only entered into force for the Federal Republic of Germany on 1 January 1991 (see supra), it is a matter of largely theoretical dispute whether the Convention was in force for East Germany only between 1 March and 2 October 1990 or rather from 1 March 1990 onwards until today. The question has not lead to any case law under the CISG.

CISG-related terminology in German practice

The full name of the 1980 Sales Convention in the German language is "Übereinkommen der Vereinten Nationen vom 11. April 1980 über Verträge über den internationalen Warenkauf".

In current German court practice and legal writings from Germany, the 1980 Sales Convention is usually referred to as "CISG" or "UN-Kaufrecht" (UN Sales Law). Some domestic databases use the abbreviation "UNWaVtrÜbk". In the early years after the CISG's entry into force, other terms and short forms used were "Wiener Kaufrecht" (Vienna Sales Law), "Wiener UN-Kaufrecht", "Einheitliches Kaufrecht" (Uniform Sales Law), "UN-K", "WKR" or similar. They are less frequently used today.

1964 Hague Sales Conventions (ULIS & ULF) in Germany

From 16 April 1974 until 31 December 1990, the 1964 Hague Conventions relating to a Uniform Law on the International Sale of Goods (ULIS) and relating to a Uniform Law on the Formation of Contracts for the International Sale of Goods (ULF) were in force in the Federal Republic of Germany.

Germany's ratification of the 1964 Conventions in 1972 had been prepared by way of an explanatory report on ULIS and ULF written by the German government. It was published together with the draft text of the German implementing law and the explanatory report on ULIS and ULF written by Professor André Tunc (in its French original and in a translation into German):

Upon ratifying the CISG, Germany denounced both 1964 Hague Sales Conventions (effective 31 December 1990), as required by Art. 99(3) CISG.

Participation of Germany in the 1980 Diplomatic Conference in Vienna
