Status under the CISG:

Contracting State

In accordance with Art. 93(1) CISG, Denmark has declared that the Convention shall not apply to the Faroe Islands and Greenland.

As authorized by Art. 94 CISG, Denmark has declared that the CISG does not apply to sales contracts between a party from Denmark and another party from Finland, Iceland, Norway or Sweden (i.e. intra-Nordic trade).

Denmark had signed the Convention in accordance with Art. 91(1) CISG on 26 May 1981. It subsequently deposited its instrument of ratification in accordance with Art. 91(2), (4) CISG on 14 February 1989.

History of the CISG in Denmark including the Danish Art. 92 CISG reservation and its withdrawal

    1. Original accession

The original proposal for the law enacting the CISG including explanatory notes can be found in the Folketingstidende 1988-89, tillæg A, sp. 869 ff (~ Official Records for Parliamentary Proceedings, 1988-89 term, appendix A, column 869 et seq.). It was, subsequently, adopted as Law no. 733 of 7 December 1988 and per Ministerial Decree no. 110 of 22 February 1990, the CISG entered into force on 1 March 1990.

    2. Danish Art. 92 reservation and its withdrawal

Upon ratifying the Convention, Denmark had made a reservation authorized by Art. 92 CISG, declaring that it would not be bound by the Convention's Part II on the formation of contracts (Arts. 14–24 CISG). On 2 July 2012, Denmark withdrew this reservation (Art. 97(4) CISG). This was based on a proposal before the Danish Parliament Folketingstidende 2011-12, tillæg A, L 6 (~ Official Records for Parliamentary Proceedings, 2011-12 term, appendix A, Proposal no 6), which was adopted as Law no. 1376 of 28 December 2011 and formed Ministerial Decree no. 973 of 24 September 2012. According to Art. 92(2) CISG, Denmark was therefore not considered a Contracting State within Art. 1(1) CISG for matters governed by Arts. 14–24 CISG as far as sales contracts concluded between 1 March 1990 and 31 January 2013 were concerned. 

    3. Consolidation

A consolidated version of the law enacting the CISG has been published as Consolidation Act no 1224 of 21 November 2014.

Participation of Denmark in the 1980 Diplomatic Conference in Vienna

Denmark was one of the 62 States that participated in the Diplomatic Conference held from 10 March until 11 April 1980 that adopted the Sales Convention's text. The Danish delegation in Vienna was comprised as follows:
