Status under the CISG:

Contracting State

The People’s Republic of China has been a CISG Contracting State since 1 January 1988.

China has made a reservation in accordance with Art. 95 CISG. Accordingly, courts in China only apply the Convention to a sales contract pursuant to Art. 1(1)(a), i.e. when both buyer and seller have their places of business in different CISG Contracting States. In contrast, Art. 1(1)(b) CISG is inapplicable in China.

Further information:

China had signed the Convention in accordance with Art. 91(1) CISG on 30 August 1981. It subsequently deposited its instrument of approval in accordance with Art. 91(2), (4) CISG on 11 December 1986.

Guidelines regarding the CISG‘s application issued by the Supreme People‘s Court of the People‘s Republic of China

Since November 2010, the Supreme People’s Court of the People's Republic of China has from time to time selected and re-issued certain Chinese court judgments as de facto binding "Guiding Cases". The purpose of this "Guiding Cases" system is to guide the adjudication of similar subsequent cases by Chinese courts and to ensure the uniform application of law.

On 25 February 2019, the Judicial Committee of the Supreme People's Court released the 21st batch of Guiding Cases that consisted of six cases concerning international sale of goods contract disputes. It included Guiding Case No. 107 (= CISG-online 2847), the first-ever CISG case to be selected as a Guiding Case:

China's Art. 96 CISG reservation and its withdrawal

Upon approving the Convention, China had made the reservation authorized by Art. 96 CISG. On 16 January 2013, China withdrew this reservation (Art. 97(4) CISG). Accordingly, the Convention's provisions that provide for freedom of form (notably Arts. 11 and 29 CISG) did not apply to sales contracts that were concluded between 1 January 1988 and 31 July 2013 with any party that had its place of business in China.

Status of the Hong Kong SAR and the Macao SAR under the CISG

Both Hong Kong (since 1 July 1997) and Macao (since 20 December 1999) are "Special Administrative Regions" (SARs) of the People's Republic of China. Although Hong Kong and Macao therefore are territorial units of the People's Republic of China, their legal systems are different from that of mainland China under the "one country, two systems" principle - a scenario addressed by the Sales Convention in its Art. 93. However, given that neither Hong Kong's nor Macao's situation has ever been officially addressed in communications to the depositary of the Sales Convention, their status under the CISG is currently uncertain and has lead to divergent case law.

Participation of China in the 1980 Diplomatic Conference in Vienna
