Matters not governed by the CISG

In case law under the Convention, inter alia the following matters have been held to not be governed by the CISG:

Acknowledgment of debt:

Held that a "credit note agreement" signed by the seller acknowledging that it had delivered goods of a lower quality than agreed, and that it would therefore have to pay back to the buyer part of the contract price received, was not governed by the CISG, but by domestic law

The Convention does not regulate the assignment of debt arising out of contracts governed by the Convention, and this gap cannot be filled otherwise. Accordingly, the law governing assignments of debt must be determined according to Art. 7(2) in fine CISG by recourse to the applicable rules of private international law

The assignment of claims in general and the relationship between assignor and assignee constitute an "external gap" of the CISG, to be filled through recourse to the forum's conflict-of-laws rules
